Homburger advised Swiss Prime Site AG (SPS), the largest real estate company in Switzerland (SWX: SPSN), on the acquisition of Fundamenta Group&#8217;s real estate division. SPS will acquire the real estate asset management companies currently held by Fundamenta Group Holding AG, Zug. The transaction is expected to close in the second quarter of 2024 and will be financed in cash (75%) and shares of SPS (25%).
The acquisition will significantly expand SPS&#8217; asset management division, Swiss Prime Site Solutions (SPSS), creating Switzerland&#8217;s largest independent real estate asset manager, with total assets under management of CHF 13 bn. Fundamenta will bring a considerable investor base of 2,000 institutional and private real estate investors, as well as a diversified portfolio of residential and commercial properties in Switzerland and Germany. The transaction will also broaden SPSS&#8217;s product range by adding the listed vehicle Fundamenta Real Estate AG, a Luxembourg SICAV fund and further investment products.

On March 5, 2024, Cadence Design Systems Inc. (Nasdaq: CDNS), a leading global EDA and Intelligent System Design provider, announced that it has signed a definitive agreement to acquire BETA CAE Systems International AG, a leading provider of multi-domain, engineering simulation solutions headquartered in Switzerland.
Under the terms of the definitive agreement, Cadence will pay approximately USD 1.24 bn for the transaction, with 60 percent of the consideration to be paid in cash and 40 percent to be paid through the issuance of Cadence common stock to current BETA CAE shareholders. The transaction, which is subject to customary conditions, is expected to close in the second quarter of this year.

Homburger and Vencora UK Limited

On February 22, 2024, Vencora UK Limited (Vencora), an indirect subsidiary of Volaris Group Inc. and Constellation Software Inc. (CSI), a Canadian-based international provider of software and services (TSX: CSU), announced that its all-cash public tender offer for all publicly held shares of Crealogix Holding AG (Crealogix) has been settled and that the share purchase agreement between certain shareholders of Crealogix and Vencora for the sale of a total of 51.66% of all shares in Crealogix to Vencora has been consummated. As a result, Vencora has acquired a 99.07% stake in Crealogix.
Homburger AG has advised Vencora and CSI on the transaction. Daniel Hasler studied law at the University of Bern, from which he graduated in 2001, and received a doctorate (summa cum laude) in 2006. In 2003 he was admitted to the bar in Switzerland and in 2010 to the bar in New York. In 2009 he graduated with a Master of Laws (LL.M.) from the University of California, Berkeley.
