On March 30, 2023, Implenia AG (SIX: IMPN), Switzerland&#8217;s leading real estate and construction service provider, announced that it had agreed to purchase Wincasa AG for CHF 171.6 m from Swiss Prime Site AG (SIX: SPSN). Wincasa is the leading Swiss real estate service provider with more than 250,000 managed properties, CHF 81 bn in assets under management and 1,350 employees (FTE). The closing of the transaction is planned for the second quarter of 2023, subject to regulatory approvals.
Homburger acts as counsel to Implenia. Homburger advised Implenia on the acquisition of Wincasa

On December 13, 2022, Tandem Diabetes Care, Inc. (NASDAQ: TNDM), a global insulin delivery and diabetes technology company, announced that it has entered into a definitive agreement to acquire AMF Medical SA, the privately held Swiss developer of the Sigi™ Patch Pump, an insulin delivery solution.
The consideration includes a previous strategic investment of CHF 8.0 m, an upfront cash payment of CHF 62.4 m, and additional contingent earnout payments of up to CHF 129.6 m, in aggregate, payable upon the achievement of certain milestones. The transaction is subject to the satisfaction of customary closing conditions and is expected to close in January 2023.
Homburger, who also advised AMF Medical on its previous financing rounds, acts as transaction counsel to AMF Medical SA and its shareholders. Roche

On November 4, 2021, Roche Holding AG (Roche), the world&#8217;s largest biotech company, with a market capitalisation of around CHF 320 bn, announced that it agreed with Novartis to repurchase 53.3 m Roche shares from Novartis Holding AG for an aggregate consideration of approx. CHF 19 bn. The transaction is conditional upon the approval of a capital reduction by cancellation of the repurchased shares and the approval of interim financial statements prepared for the purpose of the transaction by an extraordinary general meeting of Roche.
Homburger acted as legal counsel to Roche.
