Homburger advises BIOTRONIK on sale of VI Business to Teleflex

On February 27, 2025, BIOTRONIK Group announced that it has entered into an agreement to divest its Vascular Intervention (VI) business division to Teleflex Incorporated. The transaction is subject to regulatory approvals and other customary closing conditions and is expected to close before the end of the third quarter of 2025.
BIOTRONIK is a Berlin-based global leader in medical technology and a pioneer in cardiovascular, endovascular, and neuromodulation solutions. Teleflex (NYSE: TFX) is a Pennsylvania-based leading global provider of medical technologies with a diverse portfolio, including solutions in the fields of vascular and interventional access, surgical, anesthesia, cardiac care, urology, emergency medicine and respiratory care.
Homburger acts as Swiss transaction counsel to BIOTRONIK. On February 6, 2025, Temenos announced that it has reached an agreement with Montagu Private Equity for the sale of Multifonds, its fund administration software business, for a total Enterprise Value of around USD 400 m including an earn-out. Multifonds is a leading global provider of fund administration software, serving all asset classes across multiple jurisdictions and helping fund administrators, asset managers, insurance companies and pension funds achieve increased operational efficiency, whilst reducing risk.
The Homburger team is led by Dieter Gericke and Daniel Häusermann (both Corporate / M&amp;A) and included Nicola Togni, Romain Hondius, Thomas Romelli, Luca Ellenberger and Miriam Oelgarth (all Corporate / M&amp;A), Gregor Bühler, Philippe Baumann and Kristina Martinovic (all IP / IT, Technology and Digital Economy), Stefan Oesterhelt, Laetitia Fracheboud and Juliette Buob (all Tax) as well as Richard Stäuber and Christoph Grüninger (both Competition, Regulatory).

On June 13, 2024, Lotus Bakeries and Mondelēz International announced a strategic partnership to expand and grow the Lotus Biscoff® cookie brand in India and to create co-branded chocolate innovations in key markets. Homburger acted as counsel to Lotus Bakeries in this transaction.
