Homburger and Scaled Agile

On April 20, 2023, Scaled Agile Inc., a portfolio company of Eurazeo SE (Euronext Paris: RF), one of Europe&#8217;s leading private equity firms, announced its acquisition of Rentouch, a Swiss-based company specializing in software for visualizing agile planning events across multiple agile teams with SAFe®. This acquisition aims to accelerate Scaled Agile&#8217;s goal to redefine the way the world&#8217;s leading organizations identify and deliver customer value, capitalize on emerging opportunities, and improve business outcomes through integrated solutions that help teams unlock better ways of working.
Homburger advised Scaled Agile in this transaction. The team was led by Dieter Gericke (Corporate/M&amp;A) and included Léonard Aeschlimann (Corporate/M&amp;A), Reto Heuberger, Philippe Weber (both Tax), Gabriel Kasper (IP/IT and Data Protection), Matia Trosic and Frédéric Fitzi (both Employment and Executive Compensation) as well as Pepe Hünerwadel and Florian Gasche (both Corporate/M&amp;A).

Therachon

On May 8, 2019, Pfizer Inc. (Pfizer) and Therachon Holding AG (Therachon) announced that Pfizer entered into a definitive agreement to acquire all shares in Therachon for USD 340 m upfront with an additional USD 470 m contingent on the achievement of milestones. Therachon is a clinical-stage biotechnology company focused on rare diseases, with assets in development for the treatment of achondroplasia and short bowel syndrome (SBS). While Pfizer expands its rare disease portfolio with TA-46 for the treatment of achondroplasia, Therachon will spin-off its SBS program (apraglutide) into a separate, independent company.
Homburger advised Therachon in this transaction, including with respect to the sale of the shares in Therachon and the spin-off of the apraglutide development program.

Exacompta

On March 14, 2019, EXACOMPTA SAS, France, (Exacompta) and Biella-Neher Holding Ltd., Switzerland, (Biella) have entered into a transaction agreement pursuant to which Exacompta will launch an all cash tender offer for all publicly held registered shares of Biella to acquire Biella for approx. CHF 38.2 m. The offer is subject to customary conditions. Concurrently, the Biella&#8217;s anchor shareholders have signed a sale agreement with Exacompta as to the sale of approx. 53% of the Biella shares.
The Board of Directors of Biella has unanimously resolved to support the tender offer by Exacompta and to recommend the acceptance of Exacompta&#8217;s tender offer to Biella&#8217;s shareholders.
Homburger is acting as counsel to Exacompta in all legal aspects of this transaction.
