On June 18, 2024, Santhera Pharmaceuticals Holding AG (SIX: SANN) announced that it had entered into a royalty monetization financing totaling up to USD 38 m with R-Bridge, an affiliate of CBC Group, Asia&#8217;s largest healthcare-focused investment firm. Santhera is monetizing 75% of its future royalty income streams from its North America and Greater China outlicensing of its marketed product AGAMREE®. In addition, Santhera entered into a commitment letter for a CHF 35 m senior secured term loan financing with certain funds managed by Highbridge Capital. The transaction also includes changes to existing financing arrangements with Highbridge Capital as well as tie issuance of warrants to Highbridge Capital.
Homburger advised Santhera on the Swiss law and tax aspects of the transaction. On May 13, 2024, Apellis Pharmaceuticals completed Apellis group&#8217;s USD 475 m senior secured credit facilities financing. Homburger advised Apellis with respect to all Swiss legal aspects of the transaction.
The Apellis group, centered around Apellis Pharmaceuticals, Inc., is a leading biopharmaceutical company specializing in the development and commercialization of therapeutic compounds aimed at treating a range of serious diseases. The group focuses on advancing innovative therapies targeting the complement system and is renowned for its pioneering work in ophthalmology and hematology.
The Homburger team was led by Daniel Haeberli and included Laura Müller, Yulia Shaburnykova (all Financing) and Stefan Oesterhelt (Tax).

Homburger and ING Bank

Homburger acted as Swiss counsel to ING Bank in its capacity as coordinator, bookrunner and mandated lead arranger, and as documentation agent in connection with the refinancing of Axpo Holding AG&#8217;s existing credit lines through a EUR 7 bn sustainability-linked revolving credit facility with an international syndicate of more than 30 banks. This new sustainability-linked credit facility is for a three-year term, with extension/increase options and is linked to the achievement of targets for the expansion of renewable energies, the proportion of women in management positions, and the number of apprentices employed.
Homburger advised ING Bank and all other syndicate banks with regard to all Swiss legal aspects of the financing transaction.
