Homburger advised Addex Therapeutics Ltd

On April 3, 2024, Addex Therapeutics, a clinical-stage biopharmaceutical company, listed on the SIX Swiss Exchange and on the Nasdaq, and funds affiliated with Perceptive Advisors, an investment management firm focused on the life sciences sector, announced the launch of Neurosterix, a company focused on developing allosteric modulators for the treatment of underserved neurological disorders.
With initial funding of USD 63 million from Perceptive Xontogeny Venture Fund II, with participation from Perceptive Life Sciences Fund and Acorn Bioventures, Neurosterix acquired a portfolio of preclinical assets and the allosteric modulator drug discovery technology platform from Addex in view of accelerating their development. In return, Addex received CHF 5 million and a 20% equity interest in Neurosterix. Addex will retain its partnerships with Janssen Pharmaceuticals, Inc. and Indivior PLC, as well as unpartnered clinical stage assets including dipraglurant for Parkinson’s disease and post-stroke/TBI recovery as well as its preclinical GABAB positive allosteric modulator (PAM) program for chronic cough.

After receiving clearance from the Swiss Competition Commission, PHOENIX Pharma Switzerland and the Voigt Group completed the transaction to establish avosano AG, a 50:50 joint venture on April 28, 2023. This closing marks the start of the joint future of Amedis-UE AG, Voigt AG Pharma Grosshandel and Voigt Industrie Service AG under the umbrella of avosano AG. The avosano Group will be an optimally positioned Swiss player in the pharmaceutical wholesale (market share of approx. 35 percent) and prewholesale (market share of approx. 40 percent) with an expected total turnover of approx. CHF 1.7 bn.
Homburger advises PHOENIX Pharma Switzerland on the transaction. On October 5, 2021, coparion GmbH &amp; Co KG, a venture capital fund specializing in technology-driven start-ups, together with Ronald Strässler, co-founder of Avaloq, and business angels Hartmut Carl, Stephan Thalmann, Sebastian Amme and Peter Kessel participated in a seed investment round of Veertly SA.
Veertly is a European platform for virtual and hybrid events and digital collaboration. The financing serves to accelerate growth by investing in the areas of sales and marketing as well as in the further development of Veertly&#8217;s product innovations.
Homburger has advised coparion GmbH &amp; Co. KG in its investment.
