On April 3, 2024, Meyer Burger Technology AG (SIX: MBTN) announced the successful completion of its rights offering, raising gross proceeds of CHF 206.75 m. Shares not subscribed by shareholders were placed with institutional investors at the prevailing market price.
Homburger acted as legal and tax counsel to Meyer Burger in this transaction. On December 1, 2023 the Canton of Basel-Stadt issued CHF 105 m digital bonds. Basler Kantonalbank acted as lead manager. The digital bonds will be listed on SDX Trading AG.
The SDX infrastructure, which is based on distributed ledger technology (DLT), enables the issuance and trading of tokenized securities. As part of a pilot project, the Swiss National Bank is issuing digital central bank money for financial institutions (so-called wholesale Central Bank Digital Currency, wCBDC) on this infrastructure for the first time. This is one of the world&#8217;s first pilot projects for processing real transactions in digital central bank money.
Homburger acted as counsel to Basler Kantonalbank. The Homburger team consisted of partner Benedikt Maurenbrecher and counsel Eduard De Zordi (both Capital Markets).

Roche

On December 4, 2023, Roche Finance Europe B.V. issued EUR 1.5 bn Bonds guaranteed by Roche Holding Ltd.
Banco Santander S.A., Barclays Bank PLC, BNP Paribas, Deutsche Bank Aktiengesellschaft and UniCredit Bank AG acted as joint lead managers. The bonds will be listed on the SIX Swiss Exchange and have been admitted to trading on the Open Market (Freiverkehr) of the Frankfurt Stock Exchange.
The transaction consists of a EUR 600 m tranche due December 2027 and a EUR 900 m tranche due December 2036.
The documentation is governed by Swiss law.
