Homburger acted as counsel to UBS Switzerland AG as mandated lead arranger, underwriter, agent, security agent and original lender in connection with the financing of the acquisition of IMPAG Group by Deutsche Private Equity (DPE). IMPAG, headquartered in Zurich and with subsidiaries in Switzerland, Germany, Poland, France, Austria and Spain, is an internationally orientated value-added specialty chemical distribution company that supplies and supports the life science and material science industries in Europe with raw materials, active ingredients and services.
Homburger advised UBS Switzerland AG and the other syndicate banks with regard to all Swiss legal aspects of the financing transaction.
The Homburger team was led by Jürg Frick (Financing) and included Stefan Bindschedler, Nathalie Scherrer, Sarah Fasel and Michelle Wolf (all Financing) as well as Stefan Oesterhelt (Tax).

Capital Markets

On May 28, 2024, UBS Switzerland AG successfully completed its issuance of Digital Covered Bonds under the program in an aggregate principal amount of CHF 150 m, consisting of CHF 150 m 1.5075% Digital Covered Bonds due May 2029. The Covered Bonds are governed by Swiss law and are listed on SIX Swiss Exchange and SDX Trading. The Covered Bonds are indirectly backed by a portfolio of mortgages from UBS Switzerland AG&#8217;s domestic mortgage pool.
The Homburger team was led by Stefan Kramer and Benedikt Maurenbrecher and included Daniel Hulmann, Sofiya Shavlak, Michelle Wolf (all Capital Markets) and Stefan Oesterhelt (Tax).

Homburger advised UBS Switzerland AG  on the issuance of CHF 150 m Digital Fixed Rate Covered Bonds

On May 21, 2024, UBS Switzerland AG successfully completed its issuance of Covered Bonds under the program in an aggregate principal amount of EUR 1.75 bn, consisting of EUR 1 bn Floating Rate Covered Bonds due April 2027 and EUR 750 m 3.146% Covered Bonds due 21 June 2031. The Covered Bonds are governed by Swiss law and are listed on SIX Swiss Exchange. The Covered Bonds are indirectly backed by a portfolio of mortgages from UBS Switzerland AG’s domestic mortgage pool.
Homburger advised UBS Switzerland AG as issuer and UBS Hypotheken Schweiz AG as guarantor in respect of all transactional, regulatory and tax aspects of Swiss law. The Homburger team was jointly led by Stefan Kramer and Benedikt Maurenbrecher and included Daniel Hulmann, Sofiya Shavlak and Michelle Wolf (all Capital Markets) as well as Stefan Oesterhelt (Tax).
